END-USER LICENSE AGREEMENT

Toth Construction — Effective Date: July 26, 2026

This End-User License Agreement ("Agreement") governs use of the internal accounting integration application (the "App") developed by Toth Construction ("Company," "we," "us"), which connects to Intuit QuickBooks Online. This is an internal business tool. It is not distributed to, licensed to, or intended for use by the general public or external customers.

1. LICENSE GRANT

The Company grants its authorized employees and contractors a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for internal accounting, reporting, and dashboard purposes in connection with their work for Toth Construction.

 

2. AUTHORIZED USERS

Use of the App is restricted to personnel expressly authorized by the Company. Credentials and access may not be shared with any person outside the Company without prior written approval.

 

3. RESTRICTIONS

Users may not: (a) use the App for any purpose outside the scope of their authorized job duties; (b) copy, modify, reverse engineer, or create derivative works of the App; (c) use the App to access, extract, or distribute QuickBooks data for any purpose other than internal reporting; or (d) attempt to circumvent any security or access control within the App.

 

4. OWNERSHIP

The App, including all associated code, design, and documentation, is and remains the property of Toth Construction. This Agreement does not transfer any ownership rights. All QuickBooks data accessed through the App remains subject to the Company's QuickBooks Online account and Intuit's applicable terms.

 

5. DATA HANDLING

Use of the App and any data accessed through it is subject to the Company's Privacy Policy. Users are responsible for handling all financial and customer/vendor data accessed through the App in accordance with Company policy and applicable law.

 

6. TERM AND TERMINATION

This license is effective for as long as the user remains authorized personnel of the Company and continues to comply with this Agreement. The Company may revoke access at any time, including upon termination of employment or contract, or for any violation of this Agreement.

 

7. DISCLAIMER OF WARRANTY

The App is provided "as is" for internal use, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the App will be uninterrupted or error-free.

 

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Toth Construction shall not be liable for any indirect, incidental, or consequential damages arising from use of the App, including but not limited to data loss or business interruption.

 

9. GOVERNING LAW

This Agreement is governed by the laws of the state in which Toth Construction is organized, without regard to conflict-of-law principles.

 

10. CHANGES TO THIS AGREEMENT

The Company may update this Agreement from time to time. Updated versions will be posted at this URL with a revised effective date.
